Bedingungen zur Teilnahme an Microsoft Teams-Besprechungen von Gossen Metrawatt GmbH

Im Zusammenhang mit dieser Microsoft Teams-Besprechung (Teilnahme an der Besprechung sowie Nutzung des Chats, Teilen von Dateien und alle weiteren Funktionen) ist jede Teilnehmerin und jeder Teilnehmer zur Einhaltung der anwendbaren rechtlichen Vorgaben verpflichtet, insbesondere des Datenschutz- (DSGVO und BDSG), des Geschäftsgeheimnisschutz- (GeschGehG), des Wettbewerbs- und des Kartellrechts (v. a. dem Verbot hinsichtlich unzulässiger Absprachen; UWG und GWB) sowie des Außenwirtschafts- und des Exportkontrollrechts (AWG, AWV etc.).

Vorbehaltlich expliziter abweichender Vereinbarungen, die zumindest in Textform dokumentiert sind (z. B. Besprechungsprotokoll), ist über alle im Rahmen dieser Besprechung bekannt gewordenen Informationen Stillschweigen zu bewahren und werden seitens der Gossen Metrawatt GmbH keinerlei Nutzungsrechte an Daten, Dateien und Arbeitsergebnissen eingeräumt.

Ergeben sich Anhaltspunkte für Verstöße gegen die genannten Pflichten, so sind diese unverzüglich anzusprechen, gegebenenfalls sind die Besprechung und die weiteren Funktionen sofort zu beenden und Chats zu schließen.

Im Hinblick auf den Einsatz von Microsoft Teams hat die Gossen Metrawatt GmbH verschiedene technische und organisatorische Maßnahmen zum Schutz der personenbezogenen Daten und von Geschäftsgeheimnissen getroffen. Insbesondere hat die Gossen Metrawatt GmbH Microsoft angewiesen, nur Länder der EU als Serverstandorte für die Datenverarbeitung zu nutzen. Microsoft kann aber, insbesondere im Falle von Störungen und Fehlfunktionen, aus sog. Drittländern außerhalb der EU, für welche es keinen Angemessenheitsbeschluss der Europäischen Kommission gibt, auf die Server zugreifen. In solchen Drittländern besteht kein mit den Vorgaben der DSGVO vergleichbares Datenschutzniveau. Zudem ist es möglich, dass staatliche Stellen auf Daten zugreifen, ohne dass wir oder Sie davon erfahren. Eine effektive Durchsetzung Ihrer Rechte ist in Drittländern voraussichtlich nicht möglich. Sofern Sie sich zur Teilnahme an der Besprechung mit einem Microsoft-Konto anmelden, gelten überdies die zwischen Ihnen und Microsoft getroffenen Vereinbarungen.

Wenn Sie an der Microsoft Teams-Besprechung teilnehmen, verpflichten Sie sich zur Einhaltung der oben genannten Pflichten und erklären Sie damit Ihre Einwilligung in eine mögliche Datenübermittlung in Drittländer.

Terms and Conditions for Participating in Microsoft Teams Meetings of Gossen Metrawatt GmbH

In connection with this Microsoft Teams meeting (participation in the meeting as well as using the chat, sharing files and all other functions), each participant is obliged to comply with the applicable legal requirements, in particular data protection (GDPR and German Data Protection Act), protection of trade secrets (German Law on the Protection of Trade Secrets), competition and antitrust law (in particular, the prohibition of unlawful agreements; German Law Against Unfair Competition and German Law against Restraints on Competition) as well as foreign trade and export control law (German Foreign Trade Law, German Foreign Trade Regulations, etc.)

Unless explicitly agreed otherwise and documented at least in text form (e.g., minutes of the meeting), all information disclosed in the course of this meeting shall be kept confidential, and Gossen Metrawatt GmbH shall not grant any rights of use to data, files and work results.

If there are any indications of violations of the aforementioned obligations, these must be addressed immediately, and, if necessary, the meeting and the other functions must be terminated immediately and chats closed.

Concerning the use of Microsoft Teams, Gossen Metrawatt GmbH has taken various technical and organisational measures to protect personal data and business secrets. In particular, Gossen Metrawatt GmbH has instructed Microsoft to use only EU countries as server locations for data processing. However, Microsoft may access the servers from so-called third countries outside the EU, for which there is no adequacy decision by the European Commission, especially in the event of malfunctions and failures. Such third countries do not have a level of data protection similar to the requirements of the GDPR. In addition, it is possible that government agencies access data without us or you knowing about it. Any effective enforcement of your rights is probably impossible in third countries. Please refer to Microsoft's website for information regarding their data protection policies. In addition, if you sign in to the meeting with a Microsoft account, the agreements between you and Microsoft will apply.

By participating in the Microsoft Teams meeting, you agree to abide by the above obligations and thereby consent to the possible transfer of data to third countries.
